In 1993, Juma launched its first social enterprise: a single Ben & Jerry’s ice cream shop in San Francisco. The initial enterprise gave homeless youth the job experience they needed to transition from living on the streets to a stable adulthood. Juma has since grown from a job-training and placement program serving a handful of youth to a comprehensive, award-winning, national youth development organization. Juma is considered one of the nation’s premier social enterprises.

Issue

How can Juma define the fair value of a small mission-aligned social enterprise that it wants to purchase?

Situation

In 2015, Juma San Francisco Enterprise Manager Alvin Yu created and started his own independent Boba Tea business called STEEP Tea & Creamery in Oracle Park, with the approval of the Juma Executive team. Alvin remained a Juma employee while also running his own business, and he has now become the Director of Enterprise Development. Today, under Alvin’s leadership, Juma owns three brick and mortar STEEP locations in SF and STEEP operations in Levi Stadium in Santa Clara and PayPal Park in San Jose. However, Alvin still owns the STEEP business in Oracle Park. Alvin wishes to sell this business to Juma, and Juma would like to purchase it. The major issue is determining the fair value and purchase price so both parties feel confident moving through the purchase process.

Project Overview

Juma would like an ACT project team to provide an independent perspective and help Juma define the fair value of the STEEP Tea & Creamery business at Oracle Park, so Juma can purchase it early in 2025. Business valuation experience would be valuable for this project but is not required.
